By accessing or using mashnote ("mashnote", "we", "us", or "our"), including our website, applications, and related services (together, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Services.

mashnote is a local-first note-taking application. It is currently offered as a public beta. Features, availability, and pricing may change as we continue to develop the Services.

As a beta release, the Services are provided "as-is" and "as-available", may be incomplete or contain errors, and may change at any time without notice. By using the Services, you acknowledge that your feedback and usage data may be used to improve the platform.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it up to date.

You agree not to, and not to permit others to:

  • Use the Services in violation of any applicable law or regulation;
  • Infringe the intellectual property or other rights of others;
  • Upload or transmit unlawful, harmful, defamatory, or otherwise objectionable content;
  • Attempt to gain unauthorised access to the Services or to the accounts or data of other users;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, or disassemble the Services, except as permitted by law;
  • Scrape, crawl, or use automated means to extract data or content from the Services.

5. Your content

You retain all rights to the notes, attachments, and other content you create or upload to the Services ("Your Content"). By using the Services, you grant us a limited, non-exclusive licence to host, store, and transmit Your Content solely to provide the Services to you. You are solely responsible for Your Content and for ensuring you have the rights necessary to use it.

The Services, including all software, design, text, and branding (excluding Your Content), are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms.

The Services may integrate with or link to third-party services, including cloud storage providers you choose for bring-your-own storage. We are not responsible for the availability or practices of third-party services, and your use of them is subject to their own terms.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for all claims arising out of or related to these Terms or the Services will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred Hong Kong dollars (HK$100). Nothing in these Terms limits any liability that cannot be limited under applicable law.

You agree to indemnify, defend, and hold us and our officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, Your Content, or your breach of these Terms.

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms, or if we reasonably believe your use poses a risk to us or to other users. Upon termination, your right to use the Services will cease, but provisions that by their nature should survive will survive.

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. You and we agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any disputes arising out of or related to these Terms or the Services.
